Terms of Use of Owner's Manual Browsing Service

Welcome and Thank you for choosing the Owner's Manual Browsing Service, supporting the ownership experience for your Honda Car manufactured and/or sold in India by Honda Cars India Limited.

The terms of use define the full agreement for use of the Owner's Manual Browsing Service (hereinafter referred to as "Terms of Use") between you ("You" or "Your" or "User") and Honda Cars India Limited.

The service is available only when the Customers/Users 'AGREE' to the Terms of Use.

Article 1 (Definition)
Unless otherwise clearly required by the context, the following terms used in the Terms of Use shall have the respective meaning as defined below:
(1) The term "Honda products"shall mean the specific model and type of automobiles bearing Honda's trademarks, which are manufactured by Honda or its designees, and sold within India.
(2) The term "Service" shall mean the Owner's Manual Browsing Service provided through the website designated by Honda (available by downloading, installing, or upgrading) as well as the information, content, and software that are included in the service (as well as  any changes in the name or content of the service as updated from time to time)
(3) The term "Manual"shall mean owner's manual, owner's guide, and other materials  (including electronic data published on the website) provided by Honda to improve customers' understanding of Honda products in terms of how to use them safely and appropriately.
(4) The term "User" shall mean the users of the service (individuals, corporations, organizations, etc.).
(5) The term "Intellectual Property Rights" shall mean all intellectual property rights, comprising of copyrights, patent rights, utility model rights, trademark rights, design rights, publicity rights and others (including the right to obtain and register those rights).

Article 2 (Application)
1. In order to use the service, users must read and agree to the Terms of Use.
2. By checking the 'AGREE' checkbox or pressing the button indicating that users agree to the Terms of Use, users are deemed to have agreed to the Terms of Use. In addition, the Users are responsible for reviewing cautionary matters mentioned in publications pertaining to this service each time they use the service. If they continue to use the service after the cautionary matters are published, they shall be deemed to have agreed to the content of those cautionary matters.
3. If the content of the Terms of Use differs from that of the cautionary matters (stipulated in Article 2. 2) or from the explanation of the service other than the Terms of Use, the former (i.e. Terms of Use) shall take precedence.

Article 3 (Changes)
1. Honda may change all or part of the Terms of Use without prior notification to Users. The revised terms of use shall become effective from the time that they are published on the website, and the revised Terms of Use shall take precedence over the old Terms of Use, unless otherwise specified by Honda.
2. If users continue to use the service after all or part of the Terms of Use are changed pursuant to Article 3. 1 above, they shall be deemed to have agreed to all the changes.

Article 4 (Service operation)
1. Honda may, without prior notice to users, suspend or add to or change the service for the purpose of maintenance, and may even suspend or terminate the service itself for reasons deemed appropriate by Honda.
2. Honda may provide users with updated versions of the service or upgrade information, etc. In such cases, the applicable updated version of the service and upgrade information shall be applicable under the Terms of Use.

Article 5 (Disclaimer)
1. The users acknowledge the following conditions and/or limitations of the service and agree not to hold Honda liable or responsible for any issues that may arise out of these conditions and/or limitations.
(i) Some of the manuals and supplemental materials (such as a list of errata) for Honda products may not be published on the website.
(ii) Due to specification changes, the contents of the manuals provided through the service may partially differ from those of the manuals that are provided with Honda products.
(iii) Due to photographic factors, body colors and interior colors of Honda products mentioned in the publication pertaining to the service may differ from the actual colors of Honda products.
(iv) 3D images of Honda products which are published on the website are computer generated and may differ from the specifications and colors of the actual products.
(v) Warranties of Honda products are based on the manuals that are provided with Honda products, not the manuals published on the website.
(vi) Honda does not guarantee that the computer system that provides the service is constantly free of viruses.
(vii) Honda does not guarantee that the service conforms to the needs of every user. In addition to the aforementioned items [(i) to (vi)], Honda does not guarantee the accuracy, certainty, applicability, usefulness, availability, security, reliability or tolerance of the service.
2. Honda shall not be liable to the Users or any third parties for any damages or losses allegedly sustained as a result of any decisions or actions taken by Honda pursuant to Clauses 1 and 2 of Article 4. Any loss or damage, (hereinafter collectively referred to as "damages"), includes but is not limited to future, direct, indirect, special, or consequential damage or damage resulting in loss of profits.
3. By agreeing to the terms and conditions set forth herein, the Users acknowledge that use of the service is solely their responsibility, and that Honda is in no way liable to the Users or any third parties for any damages resulting from the Users' use or non-use of the service.
4. Honda shall not be liable for any damages incurred as a result of unauthorized access or fraudulent alterations perpetrated by the Users.
5. Honda shall not be liable for any damages incurred as a result of the users' inability to use the service normally due to any technical modifications or alterations made to the software or hardware of the mobile phone, smart phone, tablet PC, PC, or any other device (hereinafter referred to as "terminal device") used to access the service.
6. Regardless of the terms set forth in Clause 2 of Article 4, Honda is under no obligation to fix computer bugs or improve the service in any way.
7. The users acknowledge that it is their responsibility to use the service in a capacity that complies with the laws of the country or region where they reside, and that Honda is not liable for any damages incurred as a result of the Users' failure to observe these laws.
8. Honda shall not be liable to the Users or any third parties for any damages resulting from an accident due to the Users utilizing the service while driving.
9. Honda shall not be liable for any damages resulting from the suspension, cancelation, or abolishment of or from any additions or modifications made to the system.

Article 6 (Fee)
The service is available free of charge.

Article 7 (User Environment)
1. Users acknowledge that use of the service is at their sole discretion, and that it is their responsibility to maintain their terminal device, software, and means of communication which are necessary to use the service. Moreover, Honda does not guarantee that the service is compatible with all terminal devices.
2. Users acknowledge that they may incur communication costs for use of this service inside and outside India, and that they shall be responsible for applicable costs and take all reasonable steps to deal with those costs, such as applying for fixed price services operated by each communication operator (at their own responsibility and expense).
3. In case Users use this service outside India, they shall acknowledge that the fee structure may be different from that of India, or the fee may not apply to a fixed-price service, and that they must use this service at their own responsibility and expense.
4. In accordance with their usage environment, Users shall take security measures to ensure against any malicious conduct or malfunction (such as unauthorized access and leakage of information).
5. Honda is in no way concerned with or responsible for the environment in which the users use the service.

Article 8 (Prohibition)
Upon accepting these Terms of Use, the Users acknowledge that they must not:
(i) engage in any act that may violate the Terms of Use.
(ii) engage in any act that may infringe upon the intellectual property rights, property rights, or other rights, or the profits of Honda or any third party.
(iii) engage in an act that may damage or cause trouble for or compromise the interests of Honda or any third party.
(iv) engage in malicious slander or other acts that may tarnish the reputation or trust of Honda or any third party. 
(v) engage in an act that runs contrary to public order and morality, or that violates laws and ordinances.
(vi) use this service for commercial gain.
(vii) use or introduce, either through use of or in conjunction with this service, computer viruses or harmful programs that can have an adverse effect on this service.
(viii) gain unauthorized access to the computer used to provide this service.
(ix) dispose of, transfer, or reauthorize any right granted in a manner not stipulated under the provisions set forth by Honda.
(x) engage in transactions involving the exchange of a right(s) granted either for cash or property, nor shall they promote through persuasion, advertising, notification, or other methods any such transaction.
(xi) engage in an act that may hinder the administration or provision of this service.
(xii) attempt to analyze the source code, structure, or idea of this system through reverse assembly, reverse compiling, reverse engineering, or other methods.
(xiii) use this service through means not provided for by Honda, or tamper with service-related data or create unauthorized data.
(xiv) reproduce, transmit, transfer, lend, translate, adapt, or modify the software for this service, or combine it with other software.
(xv) destroy the security code or the security device incorporated into this service.
(xvi) engage in acts that may cause the system to malfunction.
(xvii) grant a third party access to or lend to anyone one's terminal unless the password stored in the terminal is protected, or in the case the terminal is sold, transferred, or pawned, completely removed from the memory of the terminal.
(xviii) purport to have power of attorney or impersonate themselves as individuals merely to collaborate with another person or organization with the intent to benefit from this service.
(xix) use programs, or macros or other tools not recognized by Honda.
(xx) ignore cautionary matters mentioned in publications pertaining to this service or Honda.
(xxi) operate a terminal to navigate through service content when they are driving, or in other situations or areas that can be deemed unsafe.
(xxii) use this service for political or religious means.
(xxiii) impersonate an employee of Honda or that of an affiliated company, or any person concerned with either company.
(xxiv) redistribute any support mail from Honda.
(xxv) offer illegal profit to suspicious political movements, or crime syndicates or racketeers or other anti-social groups, including its members and any person or company affiliated with these groups.
(xxvi) engage in any other act that Honda deems inappropriate.

Article 9 (Disposition)
1. In case of violation of the Terms of Use of this service (or pertinent laws and regulations), or if users are engaging or have engaged in action that may violate the terms of use, Honda may suspend or terminate this service and take other necessary measures against those users at its sole discretion, and shall not be responsible for any damages suffered by such users due to the suspension or termination of the service.
2. Users shall not have any right to raise objection to Honda's measures against such violations.
3. Should Users cause damage to Honda through such violations, they shall be under obligation to compensate for that damage.

Article 10 (Intellectual Property Rights)
1. All intellectual property rights regarding this service are the property of Honda or its licensor, and the license of this service does not grant the User the right to use the intellectual property rights owned by these parties (Honda or its licensor).
2. Except for personal use as stipulated under copyright laws or use within the scope clearly defined under pertinent laws and regulations, Users are strictly prohibited from using, reproducing, copying, redistributing, or altering all or part of any information and images obtained through the use of this service without the explicit permission of Honda or the right of the holders of such information and images.
3. In the event that a dispute arises between users and a third party with regard to intellectual property rights, the users shall settle the dispute on their own responsibility and at their own expense, and Honda shall in no event be responsible for any dispute.

Article 11 (Notification)
1. All notices, reports, requests, demands, and other communications under or in connection with this service (from Honda to users) shall be either published on the site, given by e-mail, or delivered through any other method which Honda deems appropriate, and Users shall agree to all such methods of delivery.
2. If notice is given to Users through any of the above methods, such notice will be deemed given and received by the Users once the content of the applicable notice is published on the site, regardless of whether they have checked the content or not.

Article 12 (Link to the site (service))
Users are free to add a link to the site (service) on other websites provided that such websites are not violative of public order and morals.

Article 13 (Transfer of the contractual status)
If Honda transfers its business related to this service to other companies, it shall have the right to transfer its contractual status as well as its rights and obligations under the Terms of Use of this service to such companies, and Users shall be deemed to have consented to any applicable business transfer, the conditions of which are specified in this Article (Article 13). Furthermore, such business transfer includes not only normal business transfer but all kinds of business transfer (for example, demerger).

Article 14 (Effectiveness)
1. In accordance with the Consumer Contract Law or other laws and ordinances, should any provision or part of any provision of these Terms of Use be deemed invalid or unenforceable, the remainder of the terms and/or the valid and/or enforceable part of any term shall remain valid and binding.
2. Under extraordinary circumstances, if any provision or part of any provision of these Terms of Use should become invalid or be dissolved for a particular user, the remainder of these terms and/or the valid and/or enforceable part of any term shall remain valid and binding for that User, and the exceptions made under the applicable circumstances will apply only to that User.

Article 15 (Governing Law and Jurisdiction)
1. These Terms of Use shall be governed by and construed in accordance with the laws of India.
2. All disputes, controversies, or differences which may arise between Honda and users in connection with the service shall be resolved amicably. If the dispute is not resolved amicably then the same shall be referred to the Sole neutral Arbitrator appointed by Honda Cars India Limited. The place of Arbitration shall be New Delhi. The fast track arbitration proceedings shall be conducted as per the Arbitration and Conciliation Act, 1996 (as amended from time to time).
3. Notwithstanding the above, the Parties hereby agree that the Courts at New Delhi only shall have exclusive jurisdiction to try legal proceedings, if any.
